By accessing or using https://aguywithplans.com (the "Site"), submitting forms, or engaging the B2B workflow auditing services offered by A Guy With Plans Inc. ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Use ("Terms") and all applicable federal, state, and local laws. If you do not agree to these Terms, you must immediately cease using the Site.

2. Description of Services

A Guy With Plans Inc. provides custom software development, B2B workflow efficiency audits, system integration, and software utility services. The information provided on this Site is for general informational purposes and to facilitate client outreach.

3. Intellectual Property Rights

All content, code, software architecture, design elements, color schemes ("The Premium Vault"), graphics, logos, text, and operational workflow patterns published on or underlying this Site are the exclusive intellectual property of A Guy With Plans Inc. and are protected by applicable copyright, trademark, and trade secret laws. You may not copy, reproduce, distribute, reverse-engineer, or create derivative works from any portion of this Site or our proprietary workflow automation designs without our express written consent.

4. Third-Party Platforms & Service Disclaimer

Our Site and automated workflows rely on third-party platform providers (including GitHub Pages, Tally.so, Make.com, and Google Workspace).

A Guy With Plans Inc. makes no warranties regarding the continuous availability, uninterrupted uptime, or error-free operation of these third-party platforms. We shall not be liable for any temporary service interruptions, API changes, web hosting downtime, or delayed message deliveries caused by upstream third-party provider failures.

5. Limitation of Liability

To the maximum extent permitted by the Kentucky Business Corporation Act (KRS Chapter 271B) and applicable law:

• NO CONSEQUENTIAL DAMAGES: In no event shall A Guy With Plans Inc., its sole director, officers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, business interruption, or missed sales leads arising out of your use of or inability to use the Site or our automated pipelines.
• MAXIMUM AGGREGATE LIABILITY: Our total cumulative liability for any claims arising under these Terms or your use of the Site shall not exceed $100.00 USD or the total fees paid by you to A Guy With Plans Inc. in the preceding thirty (30) days, whichever is less.

6. Indemnification

You agree to defend, indemnify, and hold harmless A Guy With Plans Inc. and its officer(s) and director(s) from and against any claims, liabilities, damages, judgments, losses, costs, or expenses (including reasonable attorneys' fees) arising out of your violation of these Terms or your unauthorized use of the Site.

7. Governing Law & Jurisdiction

These Terms shall be governed by, construed, and enforced in accordance with the laws of the Commonwealth of Kentucky, without regard to its conflict of law principles. Any legal action or proceeding arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in Madison County or Jefferson County, Commonwealth of Kentucky, and you hereby consent to personal jurisdiction therein.
